1. Acceptance of Terms

By accessing or using the NEIL Africa website (the "Site"), registering for or attending a NEIL program or event, or otherwise interacting with the Network of Entrepreneurial Institutions Leaders ("NEIL", "we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these Terms, please do not use the Site or participate in NEIL activities.

2. Definitions

  • "NEIL" / "the Network" — the Network of Entrepreneurial Institutions Leaders and its affiliated staff, programs, and Member Universities.
  • "Member University" — a higher-education institution that holds Foundational, Associate, or Full membership with NEIL.
  • "Participant" — any individual who attends, registers for, or takes part in a NEIL program or event, including but not limited to Campus Spark, Startup School, JFM, TTOaaS, and the NEIL Convening.
  • "Media" — photographs, video recordings, audio recordings, quotes, testimonials, and any other likeness or recorded material of a Participant.
  • "Content" — text, graphics, logos, data, and other material appearing on the Site.

3. Use of the Website

You agree to use the Site only for lawful purposes. You must not:

  • Attempt to gain unauthorized access to any part of the Site or its underlying systems;
  • Use automated tools to scrape, copy, or republish Site Content without our prior written permission;
  • Upload or transmit any material that is unlawful, defamatory, or infringes the rights of any third party;
  • Impersonate NEIL, a Member University, or any other person or entity.

Where the Site collects information through registration or application forms (for example, Startup School enrolment or membership interest forms), you agree to provide accurate and current information.

This section covers how NEIL uses photos and videos taken at events such as Campus Spark, Startup School, JFM sessions, and the NEIL Convening.

4. Photography, Video & Media Consent

4.1 Consent to be recorded

NEIL and its representatives, partners, and appointed photographers/videographers may take photographs, video, and audio recordings at NEIL programs and events. By attending or participating in any NEIL event, you acknowledge that Media may be captured and you consent to being recorded, subject to the opt-out process described in Section 4.4.

4.2 License granted to NEIL

You grant NEIL a worldwide, royalty-free, non-exclusive, and (unless withdrawn under Section 4.4) perpetual license to use, reproduce, edit, adapt, and publish any Media in which you appear, for purposes including:

  • Display on the NEIL Africa website and program-specific sites (e.g. Startup School Kenya);
  • NEIL's social media channels and email newsletters;
  • Annual reports, impact summaries, and donor/partner communications;
  • Printed promotional materials and event signage;
  • Press releases and media coverage of NEIL activities.

No fee, royalty, or other compensation is payable to you for this use.

4.3 Attribution

Where practical, NEIL will credit Participants by name when using direct quotes or testimonials. If you would prefer to remain anonymous or be identified only by role or institution (e.g. "Student, University of Nairobi"), you may request this in writing using the contact details in Section 14.

4.4 Opting out or requesting removal

If you do not wish to be photographed or recorded at a NEIL event, please inform event staff on arrival so reasonable accommodation can be made (for example, seating outside the primary camera coverage area). If Media of you has already been published and you would like it removed, contact us using the details in Section 14 and we will make reasonable efforts to remove it from Site and social media channels going forward. Please note that NEIL cannot recall material already distributed in print, shared by third parties, or archived by external platforms prior to your request.

4.5 Minors

Where a Participant is under 18 years of age, consent under this Section must be given by a parent or legal guardian before Media of that Participant is used. Event registration forms for programs open to secondary-school-aged participants will include a separate parental/guardian consent field.

5. Intellectual Property

All Content on the Site — including text, graphics, the NEIL logo, program names, and page layouts — is owned by or licensed to NEIL and is protected by applicable intellectual property laws. You may view and share Site Content for personal, non-commercial purposes, but may not reproduce, modify, or redistribute it for commercial purposes without our prior written consent.

Member University names and logos appear on the Site to indicate network membership and remain the property of their respective institutions.

6. Content You Submit to Us

If you submit testimonials, blog contributions, comments, or other material to NEIL (including through Google Forms used for membership or event registration), you grant NEIL a non-exclusive, royalty-free license to publish and edit that content for the purposes described in Section 4.2. You confirm that any content you submit is your own original work or that you have the right to share it.

7. Membership & Partnership Terms

Institutional membership (Foundational, Associate, or Full tiers) and Corporate partnership are subject to the fee structure published on the Membership page and to a separate signed membership or partnership agreement. Annual membership fees, once paid, are non-refundable except where otherwise agreed in writing. Membership tier benefits are reviewed periodically and may be updated with reasonable notice to current members.

8. Third-Party Links & Services

The Site links to third-party services, including program microsites (e.g. startupschool.neilafrica.org) and third-party form providers (e.g. Google Forms) used for registration and membership interest. NEIL is not responsible for the content, privacy practices, or terms of service of third-party sites. Your use of those services is subject to their own terms.

9. Privacy & Data Protection

Personal information collected through this Site or during event registration is handled in accordance with our Privacy Policy and the Kenya Data Protection Act, 2019. This includes information submitted through registration forms, membership interest forms, and newsletter sign-ups. Please refer to our Privacy Policy for full details on what we collect and how it is used.

10. Disclaimer & Limitation of Liability

The Site and its Content are provided "as is" without warranties of any kind, express or implied. NEIL does not guarantee that the Site will be uninterrupted or error-free. Program outcomes described on the Site (such as pitch-readiness timelines or funding targets) reflect program design goals and are not guarantees of individual results.

To the fullest extent permitted by Kenyan law, NEIL shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Site or participation in NEIL programs.

11. Indemnification

You agree to indemnify and hold NEIL, its staff, Member Universities, and partners harmless from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Site.

12. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

13. Changes to These Terms

NEIL may update these Terms from time to time to reflect changes in our programs, legal requirements, or operations. The "Last updated" date at the top of this page will change accordingly. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14. Contact Us

If you have questions about these Terms, wish to exercise your rights under Section 4 (media consent), or have any other concern, please reach out via our Contact page or email us directly at info@neilafrica.org.
